MUTUAL NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into by and between the Platform Operator ("Platform," "we," "us," or "our") and the registering author ("Author," "you," or "your").

1. Purpose

The Platform provides a digital marketplace and ecosystem for authors to publish, manage, and distribute their works. In the course of enrollment and platform use, both parties may have access to confidential information. This Agreement aims to protect such information.

Manuscript Requirements

Please Note: We accept only edited manuscripts. Axon does not offer editing services. Authors are responsible for ensuring their work is fully edited and proofread before submission.

2. 100% Author Ownership of Intellectual Property (IP)

• Retention of Rights: Authors/Creators retain 100% ownership, and intellectual Property Rights in, and to any manuscript, books, drafts, cover designs, and creative content submitted to the Platform.
• Scope of Platform Authority: Axon claims no ownership over authors work. Axon's role is strictly limited to publishing, distributing, and managing digital books solely as directed by the Author.
• No Unauthorized Use: Axon will never distribute or expose authors IP to third parties outside of the exact distribution instructions you configure on your author dashboard.

3. Definition of Confidential Information

"Confidential Information" refers to any proprietary information disclosed by one party to the other, whether orally, visually, or in writing, including but not limited to:

• Platform Information: Proprietary software, source code, dashboard mechanics, unreleased platform features, internal analytics, distribution metrics, pricing models, and algorithms.
• Author Information: Manuscript drafts, unsubmitted content, personal identification details, sales data, and unpublished creative work.

4. Obligations of Confidentiality

Both parties agree to:

• Maintain strict confidentiality of all Confidential Information.
• Restrict access to Confidential Information to authorized personnel only.
• Use Confidential Information solely for the purposes outlined in this Agreement.
• Implement reasonable security measures to prevent unauthorized disclosure.

5. Term and Termination

This Agreement remains in effect for as long as the Author maintains an active account on the Platform, and continues for five (5) years after account termination or closure.

6. Exceptions to Confidentiality

Confidential Information does not include information that:

• Is already in the public domain through no breach of this Agreement.
• Is independently developed without reference to Confidential Information.
• Is required to be disclosed by law, court order, or regulatory authority (with prior notice to the disclosing party where legally permitted).

7. Governing Law

This Agreement is governed by the laws of Nigeria and shall be interpreted in accordance with Nigerian law.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and understandings.
